You represent that you are at least eighteen (18) years of age and have the legal capacity to enter into this agreement. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

SECTION 03Client Responsibilities

For Tax Preparation Clients

Clients are responsible for providing complete, accurate, and timely information necessary for the preparation of tax returns and any related services. This includes but is not limited to income documentation, expense records, prior-year returns, identification documents, and any other information reasonably requested by Preserve.

Clients acknowledge that the accuracy of any tax return depends on the accuracy and completeness of information provided. Preserve is not responsible for errors or omissions resulting from incomplete or inaccurate information supplied by the Client.

For Training Program Members

Members enrolled in either the Tax Pro Growth Pathway or the ERO Growth Pathway agree to:

  • Actively participate in required training sessions and complete assigned coursework
  • Maintain professional conduct in all interactions with Preserve, other Members, and clients
  • Comply with all applicable federal, state, and local laws governing tax preparation
  • Comply with all IRS regulations, including PTIN, EFIN, and continuing education requirements applicable to their role
  • Protect and safeguard confidential information belonging to Preserve, other Members, and clients
  • Not use Preserve's training materials, systems, or brand for any unauthorized purpose

SECTION 04Payment Terms

All fees for services and program enrollment are due at the time of purchase unless otherwise agreed in writing. Payment methods accepted are as displayed at the time of checkout.

Current Program Enrollment Fees

  • The Tax Pro Growth Pathway: $197 one-time enrollment fee
  • The ERO Growth Pathway: $297 one-time enrollment fee

Program enrollment fees are subject to change. Fees in effect at the time of your enrollment shall apply to your enrollment.

Tax preparation service fees vary based on the complexity of the return and the specific services required. Fees will be quoted prior to the commencement of work whenever practical.

By providing payment information, you authorize Preserve to charge the payment method for all fees associated with your purchase or enrollment. All amounts are quoted and payable in United States Dollars (USD).

Failed payments, chargebacks, or disputed transactions may result in immediate suspension of access to services or programs pending resolution.

SECTION 05No Refund Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED FOR ANY REASON.

By completing any purchase from Preserve Accounting Services — including but not limited to tax preparation services, program enrollment fees, digital products, training materials, and any add-on services — you acknowledge and agree that all payments are non-refundable.

This No Refund Policy applies to:

  • All tax preparation service fees, whether or not the return is filed
  • All Tax Pro Growth Pathway enrollment fees ($197)
  • All ERO Growth Pathway enrollment fees ($297)
  • All digital products, downloads, templates, and training materials
  • All add-on services, upgrades, and supplementary purchases
  • All fees paid regardless of whether services have been rendered, materials have been accessed, or programs have been completed

Rationale for This Policy

Once you access training materials, engage tax preparation services, or receive any deliverable, significant time, expertise, and resources have already been invested on your behalf. Digital training materials cannot be "returned" once accessed. Because of the nature of the services and products provided, refunds are not offered under any circumstances.

Chargebacks & Disputes

By purchasing any product or service, you agree not to initiate a chargeback, payment dispute, or reversal of any payment made to Preserve. Doing so constitutes a material breach of these Terms. Preserve reserves the right to pursue collection of disputed amounts, ban the individual from future services and programs, and pursue legal remedies as permitted by law.

Program Access After Enrollment

If a Member is removed from a program for violation of these Terms, code of conduct, or any Preserve policy, no refund of enrollment fees will be issued. If a Member voluntarily withdraws from a program, no refund of enrollment fees will be issued.

SECTION 06Communications & SMS Messaging

By providing your contact information to Preserve — including your name, email address, phone number, and any other information — you consent to receive communications from Preserve related to your services, program enrollment, appointments, and account activity.

By providing your mobile phone number and expressly opting in to SMS communications (via a checkbox, form submission, or other explicit consent mechanism), you agree to receive text messages from Preserve Accounting Services. These messages may include:

  • Appointment reminders and confirmations
  • Tax deadline reminders
  • Service updates and account notifications
  • Program-related communications for enrolled Members
  • Promotional messages, offers, and marketing communications

SMS Program Details:

Message and data rates may apply. Message frequency varies based on your engagement and needs.

To opt out: Reply STOP to any text message from Preserve at any time. You will receive a confirmation of your opt-out and will no longer receive SMS communications, except transactional messages required to complete active service engagements.

For help: Reply HELP to any text message from Preserve, or contact us at [email protected].

SMS opt-in is optional and not required to receive our services. Consent to receive SMS marketing is not a condition of purchase.

Marketing Communications

You may opt out of marketing communications (email or SMS) at any time by using the unsubscribe or opt-out mechanism provided in each communication. Opting out of marketing communications does not opt you out of transactional communications related to active services or program enrollment.

SECTION 07Training Program Terms

Program Access & Duration

Members enrolled in the Tax Pro Growth Pathway or ERO Growth Pathway receive access to program materials, training sessions, mentorship, and community resources for the duration of their active membership, subject to compliance with these Terms.

Program Materials

All training materials, videos, documents, templates, software configurations, marketing materials, and other resources provided as part of the programs are the exclusive intellectual property of Preserve Accounting Services and are licensed to Members for personal, professional use only in connection with the program.

Members may not:

  • Reproduce, distribute, resell, or share program materials with any third party
  • Post program materials publicly (including on social media, YouTube, blogs, or file-sharing platforms)
  • Use program materials to create competing training programs or products
  • Grant access to program materials to individuals who have not enrolled and paid the applicable enrollment fee

Violation of these restrictions constitutes copyright infringement and material breach of these Terms, and may result in immediate termination of program access, forfeiture of all fees paid, and pursuit of legal remedies including injunctive relief and damages.

ERO Pathway — Team Access

The ERO Growth Pathway includes training access for the enrolled Member and their designated team members operating under the Member's firm. Team access is limited to individuals actively employed or contracted by the Member's firm. The Member is responsible for ensuring their team members comply with these Terms.

SECTION 08Revenue Sharing (Tax Pro Growth Pathway)

Members enrolled in the Tax Pro Growth Pathway file returns under Preserve's professional infrastructure and brand. For each tax return prepared, filed, and paid for through Preserve's systems:

  • The Member retains sixty percent (60%) of the client-paid preparation fee
  • Preserve retains forty percent (40%) of the client-paid preparation fee

Preserve's 40% share covers professional tax software access, brand licensing, training, mentorship, marketing assistance, back-office infrastructure, and ongoing support.

Revenue distributions to Members are processed on a [INSERT PAYOUT SCHEDULE — e.g., weekly, bi-weekly, monthly] basis. Members are responsible for their own tax reporting on income received from Preserve. Members will receive IRS Form 1099-NEC or applicable tax documentation from Preserve for income exceeding IRS reporting thresholds.

The ERO Growth Pathway does not include revenue sharing. ERO Members retain one hundred percent (100%) of client-paid fees collected by their independent firm and are solely responsible for all firm operations, tax reporting, and financial management.

SECTION 09Intellectual Property

All content on the Preserve Accounting Services website — including but not limited to text, graphics, logos, images, videos, training materials, program curricula, software configurations, business processes, and any other content — is the exclusive property of Preserve Accounting Services and is protected by United States and international copyright, trademark, and other intellectual property laws.

The name "Preserve Accounting Services," associated logos, taglines including "Where Legacy Lives.," and program names including "The Tax Pro Growth Pathway" and "The ERO Growth Pathway" are trademarks of Preserve Accounting Services. Unauthorized use of these trademarks is strictly prohibited.

Nothing in these Terms grants you any right, title, or interest in Preserve's intellectual property, except for the limited license granted for personal, professional use as expressly described herein.

SECTION 10Confidentiality

Preserve treats all client tax information as confidential in accordance with applicable federal and state laws, including but not limited to Internal Revenue Code Section 7216, which governs the disclosure of taxpayer information by tax return preparers.

Members of the Tax Pro Growth Pathway who file returns under Preserve's infrastructure agree to maintain the confidentiality of all client information they access in the course of their work, and to comply with all IRS confidentiality requirements applicable to tax return preparers.

All Members agree to maintain the confidentiality of Preserve's proprietary business information, including training methods, business processes, financial arrangements, and information about other Members, both during and after their program participation.

SECTION 11Tax Preparation Disclaimers

Preserve Accounting Services provides tax preparation services in accordance with applicable federal and state tax laws and IRS regulations. Clients acknowledge and agree to the following:

  • Preserve prepares tax returns based on information provided by the Client. Preserve is not responsible for errors, penalties, interest, or additional tax liability resulting from inaccurate, incomplete, or misrepresented information provided by the Client.
  • Tax laws are subject to change. Advice provided is based on current law at the time of preparation.
  • Preserve does not provide legal advice, investment advice, or represent Clients before the IRS in audits, appeals, or collections matters unless specifically engaged in writing for such services.
  • Refund amounts are estimates based on information provided and are subject to IRS review, offset, and adjustment.
  • Refund timing is determined by the IRS and state tax agencies, not by Preserve. Preserve does not guarantee refund delivery dates.
  • Clients are ultimately responsible for reviewing their tax returns for accuracy prior to filing and signing.

SECTION 12No Guaranteed Results or Income

Preserve Accounting Services makes no guarantees regarding income, business outcomes, tax refund amounts, or program success.

Individual results vary significantly based on effort, experience, market conditions, individual circumstances, compliance with training, and many other factors outside of Preserve's control. Any income examples, testimonials, or success stories shared by Preserve represent individual experiences and are not typical or guaranteed results.

Enrollment in the Tax Pro Growth Pathway or ERO Growth Pathway does not guarantee that a Member will:

  • Successfully obtain a PTIN, EFIN, or any other IRS credential
  • Attract or retain any specific number of tax clients
  • Earn any specific amount of income
  • Build a successful tax preparation business
  • Pass any professional examination

Success in the tax industry requires sustained effort, professionalism, adherence to training, ongoing continuing education, and compliance with all applicable laws and regulations. Preserve provides training, tools, and support — the Member's individual effort and circumstances determine the results.

SECTION 13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRESERVE ACCOUNTING SERVICES, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE WEBSITE, SERVICES, OR PROGRAMS.

PRESERVE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE WEBSITE, THE SERVICES, OR ANY PROGRAM SHALL NOT EXCEED THE AMOUNT YOU PAID TO PRESERVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent required by law in your jurisdiction, some of these limitations may not apply to you.

SECTION 14Indemnification

You agree to indemnify, defend, and hold harmless Preserve Accounting Services, its owners, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from or related to:

  • Your breach of these Terms
  • Your violation of any law or the rights of any third party
  • Your use or misuse of the website, services, or programs
  • Any inaccurate or incomplete information you provide
  • Members' provision of tax services to their own clients

SECTION 15Termination

Preserve reserves the right to suspend or terminate your access to any service, program, or the website at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Conduct that is unprofessional, harmful, or disruptive to other Members or clients
  • Non-payment or chargeback of fees
  • Violation of applicable laws or IRS regulations
  • Misuse of Preserve's intellectual property
  • Fraudulent or deceptive activity

Upon termination, you will lose access to the website, services, and programs. All fees previously paid are non-refundable per Section 5 (No Refund Policy). Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution — shall continue in effect.

SECTION 16Governing Law

These Terms are governed by and construed in accordance with the laws of the State of [INSERT STATE OF FORMATION], without regard to its conflict of law principles. You agree that any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the state or federal courts located in [INSERT COUNTY, STATE], and you consent to the jurisdiction of such courts.

SECTION 17Dispute Resolution

In the event of any dispute arising from or related to these Terms, the parties agree to first attempt in good faith to resolve the dispute through direct communication. If the dispute cannot be resolved through direct communication within thirty (30) days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), to be conducted in [INSERT CITY, STATE].

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorney fees in the arbitration, unless the arbitrator determines otherwise.

You waive the right to participate in any class action, class arbitration, or representative action against Preserve. All disputes must be brought individually.

SECTION 18Changes to These Terms

Preserve reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Effective Date." Material changes will be communicated to active Clients and Members via email or other appropriate channel where practical. Your continued use of the website, services, or programs after changes are posted constitutes acceptance of the modified Terms.

You are responsible for reviewing these Terms periodically to stay informed of any updates.
